This product is for a standard business-to-business SaaS sales model. Consumer terms, app-store terms, marketplace models, and multiple materially different offerings may require another scope.
The MSA includes appropriate customer-data and security terms for the accepted scope. A standalone DPA, HIPAA Business Associate Agreement, custom security addendum, or customer-specific compliance exhibit is not included unless separately stated.
No. This product creates your standard MSA and Order Form. Reviewing or negotiating a customer's paper is a separate contract-review engagement.
After Eusebio Law completes conflict and scope review, confirms acceptance in writing, receives payment, and receives your complete intake and source documents.
A purchase is a request for representation and remains subject to conflict and scope review. If Eusebio Law cannot accept the engagement, the purchase price will be refunded in full.
One MSA and one reusable Order Form for one company, one B2B SaaS product, and one standard sales model, plus direct attorney communication and revision support within the defined scope.
If Eusebio Law cannot accept the engagement following its conflict and scope review, the payment will be refunded in full. Once Eusebio Law accepts the engagement, the $2,500 flat fee is earned upon receipt, nonrefundable, and becomes the firm's property. The fee covers only the defined scope described above. No additional fee or cost will be charged without the client's prior approval. Nothing in these terms limits any refund that may be required under the Rules Regulating The Florida Bar.
Negotiation, customer paper, standalone DPAs or BAAs, regulated-industry opinions, service-specific compliance exhibits, tax, securities, non-U.S. law, and ongoing counsel are excluded.
Target delivery begins after written acceptance, payment, and complete intake. Material scope changes or missing facts may extend delivery or require a new quote.
The representation ends when the final included documents are delivered. The firm has no ongoing monitoring duty unless separately engaged.
